Terms of Use.

1. Acceptance

By accessing or using the MINEX website, demonstrations or platform (together, the “Services”), you agree to these Terms of Use, our Privacy Policy, Cookie Policy and Acceptable Use Policy. If you use the Services on behalf of a company, you confirm that you are authorised to bind it. If you do not agree, do not use the Services.

2. What MINEX provides

MINEX provides a technology platform that helps mineral producers and buyers discover one another and start conversations. MINEX is not a mining company, commodity trader, broker or exchange. MINEX does not buy, sell, hold or deliver minerals; does not execute, process or guarantee transactions; does not manage payments, logistics or settlement; and is not responsible for contracts, compliance or the performance of any party. MINEX offers an optional document verification: it reviews the company and compliance documents that participants submit and shows a status. That review is not a guarantee, a certification of quality or legality, or due diligence on behalf of any party. Any agreement reached through the Services is solely between the participants.

3. Demonstrations and previews

The marketplace preview, Buyer demo and Producer demo use illustrative data. Companies, quantities, grades, prices and activity shown are samples that do not represent real businesses, verified listings or live market activity, and are not offers to buy or sell. Demo accounts are stored in your browser and are not secure. Features described as in development may change or not be released.

4. Accounts

When production accounts are available you must provide accurate information, keep credentials confidential, and notify us of unauthorised use. You are responsible for activity under your account. We may suspend or close accounts that breach these terms or present a risk to the platform or its participants.

5. Participant content and accuracy

Participants are solely responsible for the profiles, listings, documents and messages they publish or send, and for ensuring they are accurate, lawful and not misleading. MINEX does not review, verify or endorse participant content and gives no assurance about its accuracy, quality, legality or availability. You grant MINEX a non exclusive licence to host and display your content as needed to operate the Services.

6. Your own diligence and compliance

You are responsible for your own commercial decisions. Before entering any transaction, carry out the due diligence appropriate to your business, including counterparty identity, mineral quality and origin, and compliance with applicable laws such as sanctions, export controls, anti money laundering, anti corruption, customs and responsible sourcing requirements. Nothing in the Services is legal, financial, tax or investment advice.

7. Acceptable use

You must follow the Acceptable Use Policy. In particular, you must not misuse the Services, interfere with their operation, attempt unauthorised access, scrape data at scale, or use them for unlawful or deceptive purposes.

8. Intellectual property

The Services, including the MINEX name, logo, design, software and content, are owned by MINEX or its licensors and protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute or create derivative works from them. Third party marks belong to their owners.

9. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy and non infringement. We do not warrant that the Services will be uninterrupted, error free or secure. See also the Disclaimer.

10. Limitation of liability

To the maximum extent permitted by law, MINEX and its affiliates, officers and employees will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising from the use of or inability to use the Services, or from any transaction or dealing between participants. Nothing in these terms excludes liability that cannot be excluded by law.

11. Subscriptions

Access to production services is offered on a subscription basis, not through transaction commissions. Current introductory prices are listed on the Pricing page in US dollars, excluding taxes, with a 10% discount for yearly billing. You may pay in major currencies and cryptocurrencies. Fees are billed in advance for the chosen period, you can cancel at the end of any period, and partial periods are not refunded unless the law requires it. We may change prices for future periods with notice. Final plans, prices and billing terms are presented before you subscribe and form part of your agreement with MINEX at that time.

12. Suspension and termination

We may suspend or end access to the Services, or remove content, at any time where we reasonably believe these terms or applicable law have been breached, or to protect the platform and its participants. You may stop using the Services at any time.

13. Changes

We may update these terms. The “Last updated” date shows the current version; continued use after changes means you accept them. For material changes affecting registered users we will take reasonable steps to notify you.

14. Governing law

These terms are governed by the laws of the jurisdiction in which MINEX Technology is established, and the courts of that jurisdiction have exclusive jurisdiction, without prejudice to any mandatory consumer or data protection rights you may have.
